Terms of Service
These Terms of Service (hereinafter referred to as “these Terms”) establish the conditions for using the information content services (hereinafter referred to as “the Service”) provided by Nick Harrison (hereinafter referred to as “we,” “us,” or “our”) on this website. All registered users (hereinafter referred to as “Users”) must use the Service in accordance with these Terms.
Article 1 (Application)
- These Terms shall apply to all relationships between Users and us regarding the use of the Service.
- In addition to these Terms, we may establish various rules and regulations (hereinafter referred to as “Individual Provisions”) regarding the use of the Service. These Individual Provisions, regardless of their title, shall constitute part of these Terms.
- In the event that the provisions of these Terms conflict with the provisions of the Individual Provisions mentioned in the previous paragraph, the Individual Provisions shall take precedence unless otherwise specified in the Individual Provisions.
Article 2 (User Registration)
- Registration for the Service shall be completed when an applicant agrees to these Terms, applies for user registration according to the method prescribed by us, and we notify the applicant of our approval.
- We may refuse to approve an application for user registration if we determine that the applicant falls under any of the following circumstances, and we shall not be obligated to disclose any reasons for such refusal:
- When false information is provided during the registration application
- When the application is from someone who has previously violated these Terms
- When we determine that user registration is not appropriate for other reasons
Article 3 (Management of User ID and Password)
- Users shall manage their User ID and password for the Service at their own responsibility.
- Users may not, under any circumstances, transfer, lend, or share their User ID and password with third parties. When login is performed with a User ID and password combination that matches the registered information, we shall consider it as use by the User who registered that User ID.
- We shall not be liable for any damages caused by third-party use of a User ID and password, except in cases where we have acted with intent or gross negligence.
Article 4 (Service Agreement)
- In the Service, a service agreement shall be established when a User applies for service use to us and we notify the User of our acceptance of such application.
- We may terminate the service agreement mentioned in the previous paragraph without prior notice to the User if the User falls under any of the following circumstances:
- When the User violates these Terms
- When we determine that the trust relationship between us and the User has been damaged
- Payment methods, service application cancellation methods, and other matters related to the Service shall be according to methods separately determined by us.
Article 5 (Intellectual Property Rights)
The copyright and other intellectual property rights of information content, text, images, videos, and other content (hereinafter referred to as “Content”) provided through the Service belong to us and other legitimate rights holders such as content providers. Users may not reproduce, republish, modify, or otherwise make secondary use of such content without authorization.
Article 6 (Prohibited Activities)
Users shall not engage in the following activities when using the Service:
- Acts that violate laws or public order and morals
- Acts related to criminal activities
- Acts that infringe copyright, trademark rights, or other intellectual property rights included in the Service
- Acts that destroy or interfere with the function of our servers or networks
- Acts that commercially exploit information obtained through the Service
- Acts that may interfere with the operation of our Service
- Acts of unauthorized access or attempts thereof
- Acts of collecting or accumulating personal information about other Users
- Acts of impersonating other Users
- Acts that directly or indirectly provide benefits to antisocial forces in connection with our Service
- Other acts that we deem inappropriate
Article 7 (Suspension of Service Provision)
- We may suspend or interrupt the provision of all or part of the Service without prior notice to Users if we determine that any of the following circumstances exist:
- When performing maintenance, inspection, or updates of computer systems related to the Service
- When it becomes difficult to provide the Service due to force majeure such as earthquakes, lightning, fires, power outages, or natural disasters
- When computers or communication lines stop due to accidents
- When we determine that it is difficult to provide the Service for other reasons
- We shall not be liable for any disadvantages or damages suffered by Users or third parties due to the suspension or interruption of Service provision, regardless of the reason.
Article 8 (Usage Restrictions and Registration Deletion)
- We may, without prior notice, restrict all or part of a User’s use of the Service or delete the User’s registration if any of the following circumstances apply:
- When any provision of these Terms is violated
- When it becomes apparent that there are false facts in the registration information
- When the credit card reported by the User as a payment method is suspended
- When there is non-performance of payment obligations such as fees
- When there is no response to our communications for a certain period
- When the Service has not been used for a certain period since the last use
- When we determine that the use of the Service is not appropriate for other reasons
- We shall not be liable for any damages incurred by Users as a result of actions taken by us based on this Article.
Article 9 (Withdrawal)
Users may withdraw from the Service through prescribed withdrawal procedures.
Article 10 (Disclaimer of Warranties and Limitation of Liability)
- We do not guarantee that the Service is free from actual or legal defects (including defects related to safety, reliability, accuracy, completeness, effectiveness, fitness for a particular purpose, security, errors, bugs, rights infringement, etc.).
- We shall not be liable for any damages incurred by Users through the Service. However, if the contract between us and Users regarding the Service (including these Terms) constitutes a consumer contract as defined by the Consumer Contract Act, this disclaimer shall not apply. Even in such cases, we shall not be liable for damages arising from special circumstances (including cases where we or Users foresaw or could have foreseen the occurrence of damages) among damages incurred by Users due to our breach of contract or tort caused by our negligence (excluding gross negligence).
- We shall not be responsible for any transactions, communications, or disputes that occur between Users and other Users or third parties in relation to the Service.
Article 11 (Changes to Service Content)
We may change the content of the Service or discontinue the provision of the Service without notice to Users, and we shall not be liable for any damages incurred by Users as a result.
Article 12 (Changes to Terms of Service)
We may change these Terms at any time without notice to Users when we deem it necessary. When Users begin using the Service after changes to these Terms, such Users shall be deemed to have agreed to the modified Terms.
Article 13 (Handling of Personal Information)
We shall handle personal information acquired through the use of the Service appropriately in accordance with our “Privacy Policy.”
Article 14 (Notifications and Communications)
Notifications and communications between Users and us shall be conducted according to methods determined by us. Unless Users provide us with a change notification in accordance with separately determined procedures, we shall consider currently registered contact information as valid and send notifications or communications to such contact information, which shall be deemed to have reached Users at the time of transmission.
Article 15 (Prohibition of Assignment of Rights and Obligations)
Users may not assign their position under the usage contract or rights or obligations based on these Terms to third parties or use them as collateral without our prior written consent.
Article 16 (Governing Law and Jurisdiction)
- Japanese law shall govern the interpretation of these Terms. The United Nations Convention on Contracts for the International Sale of Goods shall not apply to the Service.
- In the event of disputes related to the Service, the court with jurisdiction over our principal place of business shall be the exclusive agreed jurisdiction court.
